1. Service provider

Hepteon is operated by We Are Content LLC, a company incorporated in Delaware, USA (EIN 30-0890847), with a mailing address at 1709 N Francisco Ave, Chicago, Illinois 60647 (correspondence only; no physical offices or employees in the USA). It is a 100% online SaaS platform. Contact: contact@hepteon.com.

2. Purpose

An AI-powered marketing SaaS platform for SEO, GEO and AEO: auditing, keyword research, content generation, and the publishing, editing and management of content on the accounts you connect, such as Google (including the Google Business Profile), social networks, CMS and ecommerce platforms.

3. Eligibility and account

You must have legal capacity to contract and, if acting as a consumer, be of legal age in your country. The information you register must be truthful and up to date. You are responsible for keeping your credentials confidential and for the activity on your account.

4. Acceptable use

You may not use the service for unlawful purposes, to infringe third-party rights, to generate misleading or defamatory content, or to circumvent security measures. We may set reasonable technical and usage limits.

5. AI-generated content

AI content is a proposal you must review before publishing. Hepteon does not guarantee the accuracy, truthfulness, originality or legal suitability of the generated content; final editorial responsibility is yours.

6. Intellectual property

The platform, its software and trademarks belong to Hepteon or its licensors. The final content you generate and approve belongs to you, to the extent it is protectable. Depending on the jurisdiction, material generated solely by AI may not be protected by copyright; it is up to you to verify its protectability and non-infringement before any commercial use.

7. Third-party data

If you process third-party personal data through the service, you act as controller and we act as processor, under the DPA available at https://www.hepteon.com/en/data-processing-agreement-dpa/, which forms part of these Terms.

8. Technical actions on your website and backups

8.1 Authorization. To provide the service, when you connect your website (for example, WordPress) you authorize Hepteon to carry out on it, on your behalf and for your account, the following technical actions: installing, activating, updating, configuring and deactivating plugins and other software, including our own connector, backup plugins and compliance plugins (for example, cookie or consent plugins); enabling automatic plugin updates; and publishing, updating and optimizing content and metadata (such as titles, descriptions and social media data), according to the operating mode you choose in the application (autonomous or with your approval).

8.2 Revocation. You grant this authorization when you subscribe, and you may limit or revoke it at any time by changing the operating mode in the application, where it allows this, by disconnecting your site or by writing to contact@hepteon.com. If you revoke it, we may be unable to provide part of the service.

8.3 Third-party software. Plugins, themes, WordPress itself and your hosting provider belong to third parties and are governed by their own terms. Hepteon acts with reasonable care, but does not control that software or that hosting and does not warrant that an installation, update or configuration will be compatible with your site or will not cause issues.

8.4 Backups. If your site has no backup, Hepteon may install and activate a backup plugin on it and run backups with that plugin. Backups are created and stored on your own hosting, or in the destination configured in that plugin in your account, and never on Hepteon’s servers: Hepteon does not hold or keep copies of your site. While active, that plugin may temporarily change some settings of your site (for example, automatic updates). Hepteon does not warrant that backups are complete, intact or available, or that they will allow your site to be restored, and does not undertake to restore it. You are responsible for keeping your own independent backups and for checking that they are valid.

9. Regulatory compliance in the countries where you operate

9.1 You are solely responsible for ensuring that your website, your content, your products and services, your business activity and the personal data processing you carry out comply with the laws applicable in each country or territory where you operate or which you target (including, among others, data protection, cookie, consumer, advertising, e-commerce, accessibility and tax laws, and those specific to your sector). You are also responsible for how you use the content, for the services you provide with it and for the commercial results of your business.

9.2 Hepteon makes a reasonable effort to take international regulations into account, but does not provide legal advice or guarantee any result.

9.3 When Hepteon installs or configures a compliance plugin (cookies, consent, legal notices) or proposes draft legal texts to you, it does so as a reasonable starting point for the markets you have indicated to us. This is not a certification or a guarantee that you comply with the law: you must review and validate it with your legal adviser.

9.4 This section does not affect the obligations that the law places on Hepteon, in particular as processor under the DPA and the General Data Protection Regulation (GDPR), nor the transparency obligations regarding AI-generated content that fall on it.

10. Prices, taxes and payments

Prices are stated in US dollars (USD) and charged through Stripe. Prices are exclusive of taxes: you are responsible for the indirect taxes applicable in your country (VAT/GST), which will be added where the law requires. We may request your country and, where applicable, your tax ID for correct invoicing.

11. Term, renewal and cancellation

The subscription renews automatically for equal periods unless cancelled. You may cancel at any time from the application or by writing to support; it takes effect at the end of the current period. Unless applicable law provides otherwise, periods already started are not refunded.

12. Consumers (non-excludable rights)

If you contract as a consumer, you retain the mandatory rights your country of residence grants you that cannot be excluded by contract; those rights prevail over any conflicting clause. In particular, in the EU/EEA you have 14 calendar days to withdraw; for digital services, if you request immediate start and expressly acknowledge that you will lose that right once the service is fully performed, you accept that loss to the extent the service has been provided.

13. Warranties

The service is provided “as is” and “as available”. Hepteon does not guarantee specific rankings, traffic volumes or SEO results. This does not affect the mandatory legal warranties of consumers in their country of residence.

14. Limitation of liability

To the maximum extent permitted by law, Hepteon’s total aggregate liability is limited to the amount actually paid in the twelve (12) months preceding the event giving rise to the claim, and it is not liable for indirect damages or loss of profit. Nothing excludes liability that the law does not allow to be excluded (willful misconduct, gross negligence, harm to persons, or mandatory liabilities toward consumers).

In particular, and to the same extent permitted by law, Hepteon is not liable for: (a) loss or corruption of data, or unavailability of your site, caused by incompatibilities or failures of third-party software, your hosting or other services that Hepteon does not control; (b) missing or insufficient backups, or backups that cannot be restored; (c) penalties, claims or losses arising from your site or your business not complying with the laws of the countries where you operate; or (d) the commercial results of your business. These exclusions and the limit above do not apply in the event of willful misconduct or gross negligence by Hepteon, do not limit Hepteon’s obligations as processor under Articles 28 and 32 of the GDPR and the DPA, and do not affect consumers’ mandatory rights.

15. Indemnity

The client shall hold Hepteon harmless from third-party claims arising from the content it publishes or from use of the service in breach of these Terms or the law.

16. Suspension and termination

We may suspend or terminate the service for non-payment, breach of acceptable use or security risk, with notice where reasonably possible.

17. Changes

We may update these Terms. Material changes will be notified at least 30 days in advance to clients with an active subscription, indicating the effective date; if you disagree, you may cancel before that date without penalty. Continued use thereafter implies acceptance.

18. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, and disputes are submitted to the competent state or federal courts of Delaware, waiving any other venue. However, if you contract as a consumer and the mandatory law of your country of residence grants you rights or a venue that cannot be excluded by contract, those rights are respected and prevail as applicable.

19. General provisions

Assignment: you may not assign the contract without our consent; we may assign it to a successor entity. Severability: the invalidity of one clause does not affect the others. Force majeure. Notices: to the email associated with your account. Entire agreement: these Terms, the Privacy Policy, the Cookie Policy and the DPA constitute the entire agreement.

20. Links on third-party media (optional service)

20.1 Optional service, paid separately. When this service is available in your account, Hepteon may propose publishing a link to your site on third-party media. It is optional and not included in your plan. Each proposal includes 2 or 3 media outlets, each with its price in USD, and each outlet is approved and paid for separately through Stripe. Nothing is approved or charged automatically: an outlet you do not approve and pay for is not charged. The price includes what the outlet charges and Hepteon’s margin.

20.2 Intermediation. Hepteon acts as an intermediary for that order: it proposes the outlets, passes the order to the outlet you approve, checks the result, charges you the price and, once the link is verified, pays the outlet its share. The outlet is an independent third party: it is not an employee, agent or representative of Hepteon. The outlet writes and publishes the article, and is responsible for its content, its site and its own legal compliance.

20.3 Each outlet’s policies. Each outlet sets its own policies, including the type of link it accepts (for example, regular or sponsored), the deadlines it allows, what it publishes and how long it keeps it online. Hepteon does not set those policies and is not responsible for them. The order states the conditions requested from the outlet for that job (including the link and its text, the type of link when one is requested, and the delivery dates), and Hepteon checks that they are met in order to decide whether to pay the outlet and to apply clause 20.4. That check is not an editorial or legal review of the article.

20.4 If the outlet does not perform. If an outlet you paid for does not deliver on time, does not publish the link as ordered, or is excluded because its draft was returned three times, we will offer you a replacement of equal or lower price, at no new charge, which you may approve within 7 days. If you reject it, do not answer within that period, or no replacement is possible, we will refund through Stripe what you paid for that outlet. If the replacement is cheaper, we will refund the difference. To the extent permitted by law, this is your sole remedy against Hepteon for an outlet’s failure to perform.

20.5 After publication. While the service remains active in your account, Hepteon checks daily that the verified link is still published as ordered and, if after several checks it no longer is, alerts you on the platform. Hepteon does not guarantee how long the outlet will keep the article or the link. If the outlet removes or changes them after verification, there is no automatic replacement or refund, without prejudice to the rights the law grants you.

20.6 No guarantee of results. Hepteon does not guarantee rankings, traffic, visibility or mentions, or that a search engine or artificial intelligence model will take a link into account. None of them is under Hepteon’s control, and any estimates we show you are for guidance only.

20.7 Search engine policies and advertising. Paid links may be subject to the policies of search engines such as Google, which may require those links to be marked as sponsored. Breaching them may cause the search engine to disregard those links, or your site to drop or disappear from its results. Purchasing this service does not remove that risk. The decision to purchase these links and its consequences for your site are your responsibility, and you must inform yourself before approving them. It is also up to you to comply with the rules on advertising and on identifying sponsored content that apply in your markets.

20.8 Data the outlet receives. By approving an outlet, you authorize us to give it what the order requires: the address of the destination page, the keyword or topic, the link text, the language and the domains of your competitors it must not link to. The details are in the DPA.

20.9 What this section does not limit. Sections 12, 13, 14 and 18 also apply to this service. Nothing in this section excludes or limits Hepteon’s liability for willful misconduct or gross negligence, or liability that the law does not allow to be excluded, or consumers’ mandatory rights.
